dc.description.abstract The paper deals with the disclosure exclusions under the current Securities Act 1978and Financial Market Conduct Bill. As lawmakers want to create balance between the issuer and investor, the lawmakers apply an exception for a certain type of investors. These investors they do not need a disclosure because of their size or expertise. The Financial Market Conduct Bill develops several areas such as the wholesales investor and self certification. Even though there is massive develop in Financial Market Conduct Bill but there still a few problems in the Bill. Over the Financial Market Conduct Bill insert and edit several sections positively. en_NZ
